Welcome to Shopscale.us. These Terms of Service ("Terms", "Agreement") constitute a legally binding contract between you ("Student", "Client", "you", or "your") and Ascend Digital Ventures LLC ("Company", "Shopscale.us", "we", "us", or "our"), an entity organized under the laws of the State of Wyoming, USA, governing your access to and use of https://shopscale.us (the "Site"), your participation in our online store coaching classes, our agency store build provisioning, and your subscription to our VIP platform.

Shopscale.us is operated by Ascend Digital Ventures LLC as an e-commerce coaching and store development agency.

BY CLICKING "APPLY FOR COHORT", "SCHEDULE STRATEGY CALL", SUBMITTING AN ENROLLMENT APPLICATION, EXECUTING AN INVOICE OR ENROLLMENT AGREEMENT, OR ACCESSING ANY PORTION OF OUR SITE AND CURRICULUM, YOU EXPRESSLY AGREE TO BE BOUND BY THESE TERMS, OUR PRIVACY POLICY, OUR EARNINGS & RESULTS DISCLAIMER, AND OUR CANCELLATION & REFUND POLICY. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE PROHIBITED FROM ACCESSING OR USING OUR SERVICES.

2. Eligibility & Application-Based Admissions

• Age Requirement: You must be at least eighteen (18) years of age or the legal age of majority in your jurisdiction to use our Site or enroll in our programs.
• Consultative Admissions Model: Shopscale.us does not display public upfront package checkout carts. Because cohort seats, coach availability, and agency development bandwidth are limited, enrollment is granted through a consultative qualification process ("Apply For Cohort" / "Schedule Strategy Call").
• Truthful Information: You agree to provide accurate, current, and complete information during application and onboarding. Providing fraudulent identity or business information constitutes grounds for immediate termination without refund.

3. Four-Tier Coaching Programs & Inclusions

We provide four distinct acceleration coaching tracks. Every enrolled client receives our six baseline core inclusions, plus the specific curriculum duration and marketing modules assigned to their tier:

3.1 Baseline Inclusions Across All Tiers

Regardless of the coaching tier selected, all enrolled students receive:

1. Turnkey Custom Shopify Store: A professionally built, responsive Shopify storefront designed around your selected product catalog and niche, structured for conversion optimization and ready for product launch.
2. Custom Domain Name Setup: Procurement, DNS configuration, and secure SSL binding for a custom .com or branded domain name.
3. Custom Business Logo: Original, high-resolution vector and PNG brand logo assets formatted for website headers, browser favicons, social media profiles, and packaging.
4. Custom Branding Package: A complete visual brand style guide, including cohesive color palettes, typography pairings, and digital asset styling guidelines.
5. VIP Platform Access: Access to our proprietary student dashboard, product supplier directory, software calculators, session archives, and community network.
6. Live Group Coaching: Twice-weekly interactive live video mentorship classes led by experienced e-commerce coaches to review store metrics, optimize conversion rates, and resolve operational challenges.

3.2 The 4 Coaching Tiers

• Launch Track (Foundation): Four (4) consecutive weeks of mentorship comprising eight (8) live interactive classes (2x weekly) and all baseline inclusions.
• Growth Track (Expansion): Eight (8) consecutive weeks of mentorship comprising sixteen (16) live interactive classes (2x weekly), extended product testing frameworks, and all baseline inclusions.
• Scale Track (Acceleration): Twelve (12) consecutive weeks of mentorship comprising twenty-four (24) live interactive classes (2x weekly), advanced conversion rate optimization (CRO), multi-supplier logistics guidance, and all baseline inclusions.
• Apex Track (Flagship Elite Mastery): Sixteen (16) consecutive weeks of mentorship comprising thirty-two (32) live interactive classes (2x weekly), specialized modules covering paid Meta (Facebook) and NewsBreak advertising campaigns (final 4 sessions), the proprietary Summit Ad Launch package, and all baseline inclusions.

4. Custom Store Build Scope & Client Operational Obligations

• Agency Scope of Work: Our design and technical team creates the initial store design layout, sets up the product catalog infrastructure, configures menus, binds your custom domain, connects payment gateways, and styles the theme.
• Client Operating Expenses: Shopscale.us provides the turnkey store build and mentorship, but the Client is solely responsible for their ongoing operational software and service fees:
  • Ongoing Shopify platform subscription fees as established by Shopify.
  • Domain renewal fees after the initial included 1-year registration period.
  • Payment gateway merchant fees (e.g., Stripe, Shopify Payments processing fees per transaction).
  • Third-party Shopify application fees for specialized tools chosen by the Client.
  • Paid advertising budgets (ad spend paid directly to Meta, NewsBreak, Google, or TikTok).
• Payment Gateway & Merchant Approval: Merchant account underwriting (e.g., Shopify Payments, Stripe, PayPal) is subject to approval by those respective payment institutions. Ascend Digital Ventures LLC does not control third-party underwriting decisions.
• Product Inventory & Fulfillment: The Client is exclusively responsible for sourcing, purchasing, pricing, inventory quality, customer fulfillment, and customer support for all physical goods sold through their storefront.

5. VIP Platform Access Subscription Terms

• Recurring Billing: Enrollment in any Shopscale.us program includes enrollment in our VIP Platform Access subscription, billed on a recurring monthly schedule as detailed in your enrollment agreement.
• Billing Cycle: Your VIP subscription fee is billed on a 30-day recurring basis to the payment method on file.
• Scope of Access: Active subscription grants continuous access to the student platform, updated supplier vaults, curriculum replays, private community channels, and proprietary e-commerce tools.
• Cancellation Procedure: You may cancel your VIP Platform Access at any time by emailing [email protected] with the subject line "Cancel VIP Subscription" or by managing your subscription within your student portal profile.
• Notice Period: Cancellation requests must be received at least three (3) business days prior to your next scheduled billing date.
• Termination of Access: Upon cancellation, your VIP platform access will remain active until the end of your current paid 30-day billing period, after which access will terminate.
• No Partial Month Refunds: We do not provide pro-rated or partial refunds for unused portions of any monthly subscription cycle.

6. Intellectual Property & Proprietary Licenses

6.1 Client Ownership of Store Deliverables

Upon full payment of your program fees and completion of the onboarding build, you own all rights, title, and interest in:

• The custom business logo graphics created specifically for you.
• The registered custom domain name.
• The customized design elements and visual layout transferred to your primary Shopify account.

6.2 Company Intellectual Property

All educational materials, video recordings, live class streams, slide decks, proprietary spreadsheets, ad copy formulas, creative vaults, NewsBreak/Meta media buying strategies, Summit Ad Launch frameworks, text, graphics, and code on the Site and student portal remain the exclusive, proprietary intellectual property of Ascend Digital Ventures LLC.

6.3 Limited Personal License

You are granted a limited, non-exclusive, non-transferable, revocable license to view and use our curriculum materials solely for your personal, internal business operations. You expressly agree that you will NOT copy, record, download, redistribute, retransmit, resell, or publicly display any portion of our curriculum, videos, or frameworks, share your login credentials, or create derivative training programs.

7. Student Conduct & Cohort Community Standards

We foster a collaborative, professional, and respectful environment across all live coaching video sessions and student channels. You agree to attend live video classes punctually, conduct yourself with professional courtesy, refrain from abusive language, never solicit or poach fellow students, and respect peer business confidentiality.

8. Fees, Payments & Consultative Agreement

• Program Pricing: All coaching fees are established during your consultative admissions qualification and documented in your custom enrollment agreement or invoice.
• Payment Schedules: If you enroll under an approved multi-payment or installment plan, all installments must be paid strictly on schedule. Failure to make scheduled payments will result in suspension of coaching attendance and withholding of store build deliverables.
• Taxes: Program fees do not include applicable local, state, or international sales, use, value-added (VAT), or goods and services taxes.

9. Third-Party Platform Dependencies & Disclaimers

Shopscale.us is an independent store building and coaching program. We are not affiliated with, endorsed by, or sponsored by Shopify Inc., Amazon.com, Inc., Meta Platforms, Inc. (Facebook/Instagram), or Particle Media, Inc. (NewsBreak). We do not control and cannot be held liable for third-party platform actions or policy restrictions.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, COACHING PROGRAMS, STORE DELIVERABLES, AND VIP PLATFORM SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. ASCEND DIGITAL VENTURES LLC EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASCEND DIGITAL VENTURES LLC OR ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, COACHES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL IN NO EVENT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO ASCEND DIGITAL VENTURES LLC DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

12. Indemnification

You agree to defend, indemnify, and hold harmless Ascend Digital Ventures LLC and its respective officers, directors, members, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses arising out of or resulting from your operation of your e-commerce storefront, physical goods sold, product liability, fulfillment, advertising practices, or breach of these Terms.

13. Governing Law, Mandatory Dispute Resolution & Binding Arbitration

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to conflict of law principles.
• Mandatory Informal Negotiation: Prior to initiating arbitration, you and Ascend Digital Ventures LLC agree to engage in informal negotiations for a minimum of thirty (30) days by delivering a written Notice of Dispute to [email protected].
• Binding Arbitration: Unresolved claims shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) in Sheridan County, Wyoming, USA or virtually.
• Class Action Waiver: YOU AND ASCEND DIGITAL VENTURES LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A CLASS PLAINTIFF OR CLASS MEMBER.

14. Severability & Entire Agreement

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy, Earnings Disclaimer, and Cancellation & Refund Policy, constitute the entire agreement between you and Ascend Digital Ventures LLC.
